The game will fly on your system. Your video card is very powerful.

CPU is OK. It does surpass the minimum requirements though.

Minimum amount of RAM required is 512Mb, so you are OK there too.

Your relatively slower CPU and the lack of 2Gb of RAM might make you lower a couple of setting or two. Just load Bioshock and see for yourself how it runs. It uses the Unreal3 engine, after all.
